3. Client Responsibilities
The success of any coaching, training, or consulting engagement depends significantly on the client's active involvement. By engaging our services, you agree to:

7. Intellectual Property
All materials, frameworks, models, presentations, workbooks, videos, assessments, and content created or provided by Arghya Mallick remain the exclusive intellectual property of Arghya Mallick Business Coaching & Consulting.
- Client License: Clients are granted a non-exclusive, non-transferable license to use provided materials internally for the purposes of the engagement.
- Restrictions: Clients may not reproduce, distribute, sell, sublicense, publish, or create derivative works from our proprietary materials without written consent.
- Client-Owned Content: Information, data, and materials provided by the client remain the property of the client.

8. Cancellation & Rescheduling
We respect your time and expect the same in return. The following policy governs session changes:
- 24-Hour Notice: Cancellations or reschedule requests must be made at least 24 hours before the scheduled session.
- Late Cancellation: Sessions cancelled with less than 24 hours' notice may be charged in full or counted as a delivered session.
- No-Shows: Missed sessions without prior notice are non-refundable and will be treated as delivered.
- Coach Cancellation: In the rare event we need to reschedule, we will provide as much advance notice as possible and offer priority rescheduling.
- Extended Engagements: For multi-month engagements, cancellation terms will be outlined in the proposal and may include non-refundable retainers.
9. Limitation of Liability
Our services provide guidance, frameworks, and strategic support. However, coaching, training, and consulting outcomes depend heavily on client effort, context, and execution. Accordingly:

11. Governing Law & Jurisdiction
These Terms are governed by the laws applicable in the jurisdictions where we operate — primarily India and Singapore. The specific governing law for an engagement will be determined based on the client's location and agreed upon in the engagement proposal.
- Dispute Resolution: In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion and mediation.
- Arbitration: If mediation fails, disputes shall be resolved through binding arbitration under the rules of the mutually agreed jurisdiction (India or Singapore).
- Jurisdiction: Courts of the relevant jurisdiction (Kolkata, India, or Singapore) shall have exclusive jurisdiction for any legal proceedings.
